END USER LICENSE AGREEMENT
Tarrant Reporting
Effective Date: August 12, 2026
This End User License Agreement (“Agreement”) governs access to and use of the Tarrant Reporting application, website, software, dashboards, reports, integrations, and related services (collectively, the “Application”).
The Application is operated by Tarrant Roofing and its affiliated companies (“Tarrant,” “we,” “us,” or “our”).
By accessing or using the Application, you agree to this Agreement.
1. Purpose of the Application
Tarrant Reporting is currently a private business intelligence and financial reporting application designed primarily for use by Tarrant Roofing and affiliated or commonly owned companies.
The Application may connect to accounting, financial, operational, and other business systems, including QuickBooks Online, for purposes such as:
• Financial reporting and analysis;
• Management dashboards;
• Company and group-level reporting;
• Consolidated reporting;
• Historical trend analysis;
• Operational reporting;
• Financial performance analysis;
• Management decision support; and
• Other internal business intelligence functions.
The Application is not accounting software and is not intended to replace QuickBooks Online or any company’s official books and records.
2. Authorized Users
Access to the Application is limited to persons authorized by Tarrant.
Authorized users may include employees, officers, managers, owners, accountants, consultants, contractors, and other persons who have a legitimate business need to access the Application.
You may use the Application only for legitimate business purposes and only within the scope of the access granted to you.
You may not allow another person to use your account or credentials unless expressly authorized by Tarrant.
3. License
Subject to this Agreement, Tarrant grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use the Application for authorized business purposes.
No ownership interest in the Application, its software, source code, databases, design, reporting logic, analytics, intellectual property, or related technology is transferred to any user.
Tarrant may modify, restrict, suspend, or terminate access to the Application at any time.
4. QuickBooks Online Integration
The Application may connect to one or more QuickBooks Online company accounts using Intuit’s authorized application programming interfaces and OAuth authorization process.
A QuickBooks Online company may be connected only by a person who has authority to authorize access to that company.
Read-Only Design
The current version of Tarrant Reporting is designed to use QuickBooks Online data on a read-only basis.
The Application is intended to retrieve, process, analyze, organize, store, and display authorized accounting and financial information for reporting purposes.
The current Application is not intended to create, edit, delete, approve, or otherwise modify accounting records within QuickBooks Online.
If Tarrant later introduces functionality that writes information to QuickBooks Online or another connected system, appropriate notices, controls, permissions, and terms may be implemented before that functionality is made available.
5. Business and Financial Data
By connecting or authorizing access to a business system, you represent that you have authority to permit the Application to access the applicable data.
Data retrieved through the Application may include, depending on available permissions and functionality:
• Company information;
• Chart of accounts;
• Account balances;
• Profit and loss information;
• Balance sheet information;
• Cash-flow information;
• General ledger information;
• Invoices;
• Bills;
• Expenses;
• Payments;
• Customers;
• Vendors;
• Classes;
• Locations;
• Products and services;
• Accounts receivable information;
• Accounts payable information;
• Transaction details; and
• Related accounting and business information.
Use and handling of this information is also governed by the Tarrant Reporting Privacy Policy.
6. Multiple Companies and Consolidated Reporting
The Application may access information from multiple Tarrant-owned, affiliated, or commonly controlled companies.
The Application may combine or consolidate information from authorized companies to produce management reports, comparisons, dashboards, forecasts, or other analyses.
Access to information for one company does not automatically authorize access to information belonging to another company. Access is subject to the permissions and authorization controls established by Tarrant.
7. Accuracy of Reports
The Application depends on information received from QuickBooks Online and other source systems.
Reports, dashboards, calculations, consolidations, classifications, forecasts, and analyses produced by the Application may be affected by:
• Incorrect or incomplete source data;
• Accounting classifications;
• Timing differences;
• Integration delays;
• Software errors;
• Configuration choices;
• Mapping rules;
• Intercompany transactions;
• Adjustments that have not yet been recorded; or
• Other factors.
Users should verify material financial information against the applicable accounting records before relying upon it for significant business, tax, lending, legal, or financial decisions.
The Application is intended as a management and reporting tool and does not constitute an audit, review, compilation, tax opinion, legal opinion, or other professional assurance service.
8. User Responsibilities
Users must:
• Maintain the confidentiality of their credentials;
• Access only information they are authorized to view;
• Follow Tarrant’s applicable security and confidentiality policies;
• Immediately report suspected unauthorized access or security incidents;
• Avoid attempting to bypass access controls;
• Avoid introducing malicious code or interfering with the Application; and
• Use information obtained through the Application only for authorized business purposes.
9. Prohibited Uses
You may not:
• Access the Application without authorization;
• Attempt to obtain data for a company you are not authorized to access;
• Reverse engineer or attempt to extract proprietary source code except where applicable law expressly permits it;
• Circumvent security or authentication mechanisms;
• Introduce malware or malicious software;
• Use the Application for unlawful purposes;
• Sell or commercially distribute Application access without Tarrant’s authorization; or
• Use confidential financial information obtained through the Application for an unauthorized purpose.
10. Confidentiality
Information available through the Application may contain confidential, proprietary, financial, employee, customer, vendor, or commercially sensitive information.
Users must protect this information in accordance with Tarrant’s confidentiality requirements and applicable law.
Access to information through the Application does not change the confidential or proprietary status of that information.
11. Third-Party Services
The Application may rely on third-party products and services, including Intuit QuickBooks Online and infrastructure, security, communications, analytics, or hosting providers.
Third-party services may be governed by their own terms, privacy policies, availability requirements, and technical limitations.
Tarrant does not control the continued availability or functionality of third-party services.
QuickBooks and Intuit are trademarks of Intuit Inc. Tarrant Reporting is not represented as being endorsed or sponsored by Intuit unless expressly stated otherwise.
12. Security
Tarrant intends to maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of the information processed by the Application.
No information system can be guaranteed to be completely secure. Users must immediately notify Tarrant of suspected unauthorized access, credential compromise, or other security concerns.
13. Intellectual Property
The Application and its original software, architecture, databases, workflows, reporting systems, calculations, designs, documentation, and related intellectual property are owned by Tarrant or its licensors, except for third-party technologies and materials that remain the property of their respective owners.
Nothing in this Agreement grants a user permission to copy, distribute, license, sell, or commercially exploit Tarrant’s proprietary technology.
14. Availability and Changes
Tarrant may modify, improve, replace, suspend, or discontinue any portion of the Application.
Features may change as the Application develops.
Tarrant may also update this Agreement when necessary to reflect changes to the Application, connected services, business practices, or legal requirements.
The effective date shown above will identify the current version.
15. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Application is provided on an “as available” basis.
Tarrant does not warrant that the Application will be uninterrupted, error-free, or that every report or calculation will be accurate under every circumstance.
Nothing in the Application should be treated as a substitute for professional accounting, tax, legal, financial, or audit advice where such advice is required.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Tarrant and its affiliates, officers, employees, developers, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of or inability to use the Application.
Nothing in this Agreement excludes liability that cannot legally be excluded.
17. Termination
Tarrant may suspend or terminate a user’s access when:
• The user no longer requires access;
• Employment or other authorization ends;
• Security concerns arise;
• The user violates this Agreement;
• Access is no longer appropriate; or
• Tarrant otherwise determines that termination is necessary for legitimate business purposes.
Upon termination, the user’s license to access the Application ends immediately.
18. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
Any dispute concerning the Application will be handled in an appropriate court located in the jurisdiction where Tarrant’s principal business office is located, unless applicable law requires otherwise.
19. Future External or Commercial Use
Tarrant Reporting is currently intended primarily as a private/internal application.
Tarrant may later make some or all of the Application available to customers, affiliated businesses, third parties, subscribers, or other organizations.
If the Application becomes externally available, Tarrant may replace or supplement this Agreement with commercial terms of service, subscription terms, additional privacy provisions, service-level terms, or other agreements appropriate to the expanded service.
